Terms of Use

These Terms of Use govern access to and use of NakSeat by Merchants, event owners, administrators, team members, Scanners, ticket buyers, attendees and visitors.

By accessing, registering for or using NakSeat, you agree to be bound by these Terms of Use and the NakSeat Privacy Policy.

1.Definitions

“NakSeat” refers to the booking, payment, ticketing and attendance management technology platform operated by NAS Puncak Alam Resources.

“Merchant” refers to the party that creates, offers, manages or sells seats for an event through NakSeat.

“Buyer” refers to an individual who makes or attempts to make a booking.

“Guest” refers to an individual who uses a seat or attends an event under a booking.

“Seat” refers to a booking unit or entry entitlement and does not necessarily refer to a specific chair.

“Event” includes Ramadan buffets, dining sessions, programmes and other offerings permitted on the platform.

2.Role of NakSeat

NakSeat provides technology to help Merchants publish event information, accept bookings, record payments, issue tickets and manage check in.

Unless stated in writing, NakSeat is not an event organiser, hotel operator, food provider, venue owner, primary seller of seats or representative of any Merchant.

The Merchant is solely responsible for the event, food, venue, pricing, capacity, licences, safety, service, accuracy of advertising, tax, cancellations, changes and refunds.

Use of NakSeat does not create a partnership, joint venture, employment, agency or fiduciary relationship between NakSeat and any Merchant, buyer or other user.

3.Eligibility and Accounts

You must have the legal capacity to accept these Terms of Use. Users acting on behalf of an organisation confirm that they have the authority to bind that organisation.

Account information must be accurate and kept up to date. You are responsible for maintaining the security of your account, devices, sign in methods and team member access.

NakSeat may treat activity through your account as authorised activity until we receive notice and have a reasonable time to act.

4.Merchant Responsibilities

The Merchant agrees to do the following.

  1. Provide accurate event information, pricing, dates, times, location, quotas, policies and contact information.
  2. Hold all licences, permits, rights, capacity and coverage required to run the event.
  3. Fulfil valid bookings and provide the products or services promised.
  4. Manage enquiries, changes, complaints, cancellations and refunds from buyers.
  5. Comply with consumer, food, tax, advertising, data protection and other applicable laws.
  6. Ensure that uploaded content does not infringe the rights of others.
  7. Grant platform access only to authorised team members.
  8. Monitor quotas, bookings, payments and attendance.
  9. Not use buyer data for any unlawful or undisclosed purpose.
  10. Cooperate in investigations of fraud, disputes, security and complaints.

The Merchant bears the commercial risk of its own event. NakSeat does not guarantee sales volume, profit, attendance, conversion rate or the success of any event.

NakSeat may correct, hide or remove Merchant content if it is believed to be inaccurate, misleading, unlawful or harmful to the platform.

5.Buyer and Attendee Responsibilities

The buyer is responsible for reviewing event information, dates, sessions, location, seat category, amount, cancellation policy and the Merchant's contact details before making payment.

The buyer shall provide accurate information, safeguard the ticket link and ensure that the ticket is not shared with unauthorised parties.

Attendees shall comply with the Merchant's instructions, venue conditions, check in times and event rules. A Merchant may refuse entry for valid reasons and subject to applicable law.

6.Bookings and Payments

A booking is only considered confirmed once payment status is successfully received and recorded by the system.

Payments may be processed by Billplz or another payment provider selected by the Merchant. Use of a payment provider is subject to their own terms, checks, limits, settlement times and processes.

NakSeat does not guarantee that any payment will be approved, processed or settled without delay.

Where there is a discrepancy between the records of a user's device, a payment provider, a Merchant and NakSeat, NakSeat may conduct a review and determine the platform status based on available transaction evidence.

7.NakSeat Charges

Charges paid to NakSeat are for access, development, configuration, use, support or platform services as agreed with the Merchant.

Except where required by law or agreed in writing by NakSeat, charges already paid to NakSeat are non refundable.

NakSeat may change charges, usage limits or the scope of services for future periods by giving reasonable notice where applicable.

A Merchant's failure to pay charges may result in access being restricted, suspended or terminated.

8.Tickets and QR Codes

Tickets and QR codes are proof of booking within the platform and are not an absolute guarantee of entry.

The Merchant remains responsible for determining entry eligibility, attendee identity, venue capacity and compliance with event policies.

NakSeat is not responsible for tickets that are shared, copied, transferred, misused, deleted or accessed by unauthorised parties.

Scan records, partial check ins and remaining attendee counts within NakSeat may be used as operational records, but the Merchant is responsible for making final decisions on site.

9.Cancellation, Changes and Refunds

Cancellation and refund policies are determined by the Merchant and are subject to applicable law.

Any request relating to food, schedule, location, quality, cancellation, event changes or refunds shall be submitted to the Merchant.

NakSeat is not responsible for refunding money received or controlled by a Merchant or payment provider.

NakSeat may help convey information or transaction evidence but is not obliged to resolve commercial disputes between a Merchant and a buyer.

10.Platform Availability

NakSeat strives to provide a stable and secure platform but does not guarantee uninterrupted, error free access or availability at all times.

Disruptions may occur due to maintenance, updates, failure of the internet, devices, hosting, database, payment providers, email providers, cyberattacks, directives from authorities or circumstances beyond NakSeat's reasonable control.

The Merchant is responsible for having reasonable alternative operational processes such as an exported buyer list and manual verification methods.

NakSeat may carry out maintenance, change functionality, restrict use or discontinue features where necessary for security, compliance and stability.

11.Prohibited Use

You may not use NakSeat for the following purposes.

  1. Fraud, impersonation or unauthorised transactions.
  2. Events, products or services that are unlawful.
  3. Disrupting the system, testing vulnerabilities without authorisation or bypassing access controls.
  4. Using bots, scripts or automation that unreasonably burdens the platform.
  5. Collecting, copying or disclosing user data without authorisation.
  6. Uploading malware, malicious code or content that infringes the rights of others.
  7. Reselling, copying, reverse engineering or exploiting NakSeat's technology without written authorisation.
  8. Using the platform in a way that could harm the reputation, security or operations of NakSeat.

12.Intellectual Property Rights

The platform, code, design, logo, brand, documentation, system structure, content and technology of NakSeat are owned by NakSeat or its licensors.

NakSeat grants a limited, revocable, non exclusive and non transferable right to use the services in accordance with these Terms of Use.

A Merchant retains rights to its own content but grants NakSeat permission to store, process, display and adapt that content to the extent necessary to operate, protect and promote the services.

13.Suspension and Termination

NakSeat may restrict, suspend or terminate an account, access, event or transaction where there is a breach of these terms, a security risk, fraud, a serious complaint, outstanding payment, a directive from an authority or a risk to users and the platform's reputation.

If circumstances require immediate action, NakSeat may act without prior notice. Where reasonable, NakSeat will provide an opportunity for explanation or correction.

Termination does not extinguish payment, confidentiality, indemnity, intellectual property, liability limitation or other obligations that should reasonably continue.

14.Disclaimer of Warranties

To the extent permitted by law, NakSeat is provided on an as is and as available basis.

NakSeat disclaims all implied warranties that may lawfully be excluded, including warranties of fitness for a particular purpose, commercial results, device compatibility and uninterrupted operation.

NakSeat does not guarantee the accuracy of Merchant content, event quality, food safety, attendee conduct, third party provider performance or the success of any transaction.

15.Limitation of Liability

To the extent permitted by law, NakSeat is not liable for indirect losses, loss of profit, loss of sales, loss of opportunity, loss of reputation, loss of data, business interruption or consequential losses.

NakSeat's total aggregate liability for claims relating to the services shall not exceed the amount of charges paid directly by the claiming party to NakSeat within the six months preceding the event giving rise to the claim.

If the claiming party has not paid any charges directly to NakSeat, the total liability limit is RM100.

Nothing in these Terms of Use excludes any liability or right that cannot lawfully be excluded.

16.Indemnity by Merchant

To the extent permitted by law, the Merchant agrees to defend and indemnify NakSeat, its owners, employees, contractors and service providers against claims, losses, penalties, costs and expenses arising from the Merchant's event, the Merchant's content, breach of law, attendee injury, food related issues, cancellations, refunds, buyer disputes, a data breach caused by the Merchant, or a breach of these Terms of Use.

NakSeat has the right to take over the defence of any claim that could affect the platform or its reputation. The Merchant shall provide reasonable cooperation.

17.Third Party Services

NakSeat relies on third party providers including hosting, database, sign in, payment, email and network services.

NakSeat is not responsible for the actions, failures, policy changes, delays or disruptions of third party providers that are beyond NakSeat's reasonable control.

18.Changes to These Terms

NakSeat may update these Terms of Use to reflect changes in services, risk, charges or law.

The latest version will be displayed together with the effective date. Continued use after a change takes effect is treated as acceptance of the latest version, to the extent permitted by law.

19.Governing Law and Disputes

These Terms of Use are governed by the laws of Malaysia.

Parties involved shall first attempt to resolve any dispute through good faith discussion.

If a dispute cannot be resolved, the courts of Malaysia shall have jurisdiction subject to applicable law.

20.General Terms

If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in force.

NakSeat's failure to enforce any right does not mean that right has been waived.

NakSeat may assign or transfer its rights and obligations relating to the platform as part of a reorganisation or transfer of business. Users may not transfer their rights without NakSeat's written consent.

These Terms of Use, the Privacy Policy and any related written agreements form the entire agreement regarding use of the platform.
